Terms of Business
This document outlines the rules for working with Trishati and how we manage our corporate tax structuring and asset safety services.
1. Introduction and Acceptance
Trishati is a specialist corporate tax and asset structuring consultancy. We operate from our office at 42 Gresham Street, London, EC2V 7AY. These Terms of Business govern your use of our website and any introductory consultations you request through our online tools. No complex legal jargon here.
By accessing our site, using our calculators, or submitting your corporate details, you agree to these terms in full. If you do not agree with any part of these rules, you must stop using our website immediately. We reserve the right to update these terms to reflect new UK-EU tax regulations. Any changes will be published directly on this page.
2. Scope of Our Services
We build corporate structures that help UK technology startups manage their European tax liabilities and protect their core assets. Our advisory services focus on establishing subsidiaries in Ireland and Germany. We also structure dedicated intellectual property holdings to keep your software code safe from operational trading risks.
By the way, we focus entirely on business entities — we do not handle personal wealth, family trusts, or individual income tax returns. Our work is designed specifically for small-to-mid-sized technology platforms with active cross-border ambitions.
Let's look at the numbers. To maintain high standards, we only onboard 6 new corporate accounts per financial quarter. This limit ensures that Alistair Vance, Eleanor Finch, or Marcus Thorne directly reviews and coordinates every legal filing from London. We do not pass our clients to junior associates or third-party contractors.
3. No Legal or Investment Guarantees
We structure for safety, not just tax cuts. While we design legal frameworks to reduce withholding tax and keep your corporate files audit-ready, we do not make guarantees about final tax savings. Cross-border tax codes are subject to frequent shifts and national adjustments.
Local revenue authorities, including HMRC in the UK and local offices in Ireland or Germany, have final discretion over all filings. Our online tools, written audits, and diagnostic reports represent our professional analysis under active tax treaties. They are not absolute promises of outcome. Any financial estimate we provide is indicative and requires a full review of your regulatory filings before execution.
4. Client Obligations and Data Accuracy
Our structures are only as secure as the data you provide. We rely entirely on the corporate registries, asset ledgers, payroll figures, and shareholder agreements you submit. If you provide inaccurate transaction records, your setup may face immediate delays, administrative freezes, or local penalties.
You must submit all requested business documentation within our agreed timelines. Most single-country setups are complete in 28 business days, but this timeframe requires active coordination and prompt replies from your in-house financial team.
5. Intellectual Property and Trademarks
All content, online calculator structures, text, and technical diagrams on this website belong to Trishati. We grant you a limited, non-exclusive license to use our resources for your internal business planning. You may download our 14-page PDF guides to share with your internal board members.
You must not copy, modify, redistribute, or sell any of our website code, diagnostic frameworks, or written materials without our clear, written consent. Any unauthorized use of our intellectual property will result in immediate termination of our services.
6. Fees, Retainers, and Payments
We do not bill by the hour. We believe charging by the hour rewards slow work, so we operate strictly on a fixed-fee model. You will receive a written, single-price quote before we draft any resolutions or initiate filings with European registries.
For example, our entry-level Corporate Structure Audit is priced at a fixed fee of £3,800. All fees must be settled according to the payment milestones outlined in your specific engagement letter. If your payment is delayed by more than 11 business days, we reserve the right to pause your active European filings until your account is clear.
7. Limitation of Liability
To the maximum extent permitted by the laws of England and Wales, Trishati is not liable for indirect, incidental, or consequential financial losses. This includes lost commercial profits, blocked venture capital rounds, or regulatory fines resulting from business actions you take outside our direct written advice.
Our total liability for any claim, dispute, or error arising from our corporate advice is strictly limited to the total fees you paid us for that specific service during the preceding 12 months. We maintain professional indemnity insurance to cover our advisory activities up to standard UK regulatory limits.
8. Termination of Services
Either party may end a corporate structuring project by providing 14 business days of written notice to the other. If you choose to terminate a project before completion, you will be billed for the milestones our partners have already delivered.
We reserve the right to terminate our professional relationship immediately if we detect inaccurate corporate records, illegal financial practices, or if your team fails to communicate with our partners for more than 21 consecutive business days.
9. Governing Law and Dispute Resolution
These terms of business are governed by and construed in accordance with the laws of England and Wales. Any disputes, claims, or disagreements arising from our website content or our advisory services will be resolved exclusively in the courts of London.
If a court of law finds any specific clause in these terms to be invalid or unenforceable, that finding will not affect the validity of the remaining sections, which will remain in full force.
10. Contacting Our London Office
If you have any questions about these Terms of Business, please contact our partners directly. We do not use automated help desks or offshore routing systems.
You can call our London office on +44 20 7946 0514, write to us at Trishati, 42 Gresham Street, London, EC2V 7AY, or email our team at contact@trishati.com. We respond to all direct inquiries within 3.2 business hours during our regular work days.
